Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of pantherahq.com and Panthera's credit-risk analytics platform (collectively, the "Service") operated by Panthera Ltd ("the Company," "we," "us," or "our") (Ark Mori Building 12F, 1-12-32 Akasaka, Minato-ku, Tokyo 107-0052, Japan). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

Panthera provides a B2B alternative credit scoring platform. The Service is intended for use by digital lenders, neobanks, and financial institutions evaluating thin-file borrowers in Asian markets. If you are accessing pantherahq.com on behalf of a corporate entity, you represent that you have authority to bind that entity to these Terms.

2. Use of the Service

• You must be of legal age in your jurisdiction or have appropriate authority to enter into a binding agreement on behalf of your organisation.
• You agree not to use the Service in any manner that violates applicable law, including financial services regulations, consumer protection law, or data protection law in any market where you operate.
• You agree not to interfere with or attempt to disrupt the operation of the Service, access systems or data you are not authorised to access, or attempt to reverse-engineer, decompile, or extract the underlying models, algorithms, or scoring logic of the Panthera platform.
• You may not scrape, reproduce, or redistribute website content or platform outputs except as expressly permitted by a signed agreement with the Company or as allowed by mandatory law.
• Use of Panthera's scoring output to make lending decisions remains entirely your organisation's responsibility. Panthera provides analytical data to support credit decisions; the Company is not a licensed lender, credit bureau, or financial regulator in any market.

3. Intellectual Property

The Service, including the Panthera platform, scoring models, API, website, and all associated documentation, is owned by the Company or its licensors and is protected by applicable intellectual property law, including Japanese copyright law and international treaties. The Company grants you a limited, non-exclusive, non-transferable licence to access and use the Service solely for your organisation's internal credit underwriting purposes, subject to these Terms and any applicable partner agreement.

You retain ownership of any data you submit to the platform. By submitting data, you grant the Company a limited, non-exclusive licence to process that data for the purpose of delivering the Service to you. The Company will not use borrower data submitted through the scoring API to train its models or for any purpose other than delivering the scored output, without your explicit written consent.

4. Partner-Submitted Data and Regulatory Context

You are responsible for ensuring that any borrower data you submit to the Panthera platform was collected lawfully and that you have appropriate legal basis and consents under the data protection and consumer lending laws of the markets in which you operate (including, where applicable, the State Bank of Vietnam consumer lending guidelines, OJK digital lending frameworks, Bangko Sentral ng Pilipinas credit access rules, and Japan Financial Services Agency disclosure requirements). The Company provides scoring analytics as a service; compliance with local lending and data regulations for your loan book is your obligation.

5. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company makes no warranty that the Service will be uninterrupted, error-free, or produce outcomes consistent with your expectations. We disclaim all warranties -- express, implied, statutory, or otherwise -- to the maximum extent permitted by applicable law, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Mandatory warranties applicable in your country of residence are not affected by this disclaimer.

Credit scoring analytics are inherently probabilistic. Scores generated by the Panthera platform represent statistical assessments based on available data signals and are not guarantees of borrower repayment behaviour. Lending decisions based on Panthera scores are made solely at your discretion and risk.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service -- whether in contract, tort, or otherwise -- will not exceed the fees paid by you to the Company in the three months preceding the event giving rise to the claim, or USD 100 where no fees have been paid, except for liability that cannot be limited under mandatory law. The Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

7. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its directors, employees, and agents from and against any claims, damages, liabilities, and costs (including reasonable legal fees) arising from: your use of the Service; your breach of these Terms; your violation of any applicable law or regulation; or your infringement of any third-party right.

8. Termination

The Company may suspend or terminate your access to the Service at any time if you breach these Terms, if required by law, or if we determine that continued access poses a risk to other users or the integrity of the platform. Sections 3, 5, 6, 7, 9, and this section survive termination.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, without regard to its conflict of laws rules.

Any dispute arising out of or relating to these Terms or the Service is subject to the non-exclusive jurisdiction of the competent courts located in Tokyo, Japan. This does not limit your right to bring proceedings in the courts of your country of residence where mandatory consumer protection rights apply.

10. Changes and Contact

The Company may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Continued use of the Service after such posting constitutes acceptance of the revised Terms. For questions about these Terms, contact the Company at:
